These Terms of Service ("Terms") are an agreement between you and [Operator Name] ("we," "us," or "our") governing your use of the OneCircle app and related websites and services (together, the "Service"). These Terms apply if you reside in the United States. If you reside in Japan, the Japanese version applies instead. Please also read our Privacy Policy, and pay particular attention to Section 16 (Disclaimer of Warranties), Section 17 (Limitation of Liability), and Section 20 (Governing Law and Disputes).
1. Acceptance of These Terms
- By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
- Guidelines, help pages, and notices we post in the Service ("Additional Rules") form part of these Terms. If an Additional Rule conflicts with these Terms, the Additional Rule controls for the matter it covers.
2. Eligibility
- You must be at least 13 years old to use the Service. The Service is not directed to children under 13.
- If you are under 18 (or the age of majority where you live), you may use the Service only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf.
- You may not use the Service if you are barred from doing so under the laws of the United States or any other applicable jurisdiction.
3. Your Account
- You can register using an email address or a phone number. You agree to provide accurate information and keep it up to date.
- You are responsible for keeping your password and devices secure, and you may not share, sell, or transfer your account.
- Activity under your account, including actions taken through third-party services you connect under Section 8, is treated as your activity.
- Tell us promptly if you believe your account has been used without your permission.
4. The Service
- The Service includes the following features. Details and conditions are shown in the Service.
- Creating and managing events, including repeating events and event reminders
- Creating and managing tasks and lists, including due-date and location-based reminders
- Sharing calendars, task lists, and member groups, and commenting on events
- Following Channels to receive events
- Help with entering events and tasks through the AI assistant, voice input, and reading text from photos
- Integration with Google Calendar and Apple Calendar
- Integration with third-party AI services
- Home screen widgets (iPhone)
- Some features may be unavailable or work differently depending on your device, operating system, network, or plan.
- Some features are subject to usage limits, such as a daily number of uses.
5. Sharing Features
- When you join a shared calendar, task list, or member group (a "Shared Space"), other members can see the events, tasks, and comments in it, as well as your display name and profile photo, and may be able to edit content depending on their permissions.
- Anyone who receives an invitation link or invitation QR code can join the Shared Space it belongs to. Be careful about who you share invitations with and how.
- The owner of a Shared Space is responsible for managing its members. Disputes between members are between those members, and we are not responsible for them to the extent permitted by law.
- Content you add to a Shared Space may remain available to other members after you delete your account, as described in Section 14.
6. Channels
- Channels let schools, stores, organizations, and others ("Channel Operators") publish events that users can follow. Channel content is provided by Channel Operators, and we do not guarantee that it is accurate, complete, or useful.
- Channel Operators must also comply with any additional rules we provide for them.
- We may hide or remove Channel content, without prior notice, if we believe it violates the law or these Terms.
- Following a Channel does not reveal your name or account information to the Channel Operator.
7. AI Assistant
- The AI assistant automatically suggests events and tasks based on text you enter and text read from your photos.
- AI output may be inaccurate or incomplete. Review suggestions before adding them; you are responsible for what you add.
- What you enter into the AI assistant is sent to a third-party AI provider to generate a response, as described in our Privacy Policy. Do not enter information that is inappropriate to send, such as other people's sensitive personal information or confidential information.
- The AI assistant is available on the plans we designate and is subject to a daily usage limit.
8. Third-Party Services
- You may choose to connect the Service with services provided by third parties ("Third-Party Services"). Your use of a Third-Party Service is governed by that service's own terms.
- If you connect Google Calendar or Apple Calendar, the Service displays events from that calendar and writes events from the Service to it, within the scope you authorize.
- If you connect a third-party AI service (for example, an AI assistant that supports the Model Context Protocol), that AI service can view, create, change, and delete your events, tasks, and related data within the scope you authorize in the Service. Actions taken by a connected AI service are treated as your actions.
- Information provided to a third-party AI service is handled under that provider's terms and privacy policy. We are not responsible for how Third-Party Services handle information or for their decisions or behavior.
- You can disconnect a Third-Party Service at any time from the Service's settings.
- We may change or discontinue integrations, for example if a Third-Party Service changes or ends.
9. Subscriptions and Automatic Renewal
- Paid plans ("Subscriptions") are sold through the Apple App Store or Google Play (each, an "App Store"). The price, billing period, and features are shown in the Service and the App Store before you buy.
- Subscriptions renew automatically for the same billing period at the then-current price unless you cancel at least 24 hours before the end of the current period. Payment is charged to your App Store account when you confirm the purchase and at each renewal.
- How to cancel: you can cancel at any time in your App Store account's subscription settings. Cancellation takes effect at the end of the current billing period, and you keep access to paid features until then.
- If we offer a free trial, any unused portion of the trial ends when you purchase a Subscription. Unless you cancel before the trial ends, the Subscription starts and you are charged automatically.
- Refunds are handled by the App Store under its policies. Except as required by law, we do not provide refunds.
- Deleting your account does not cancel your Subscription. Cancel in the App Store before deleting your account.
- If we change the price of a Subscription, we will notify you in advance, and the new price will apply from the next billing period after the notice. If you do not agree to the new price, you can cancel before it takes effect.
10. Advertising
The Service may show ads delivered by third parties. How information is handled in connection with ads is described in our Privacy Policy. We are not responsible for the content of ads or for your dealings with advertisers.
11. Your Content
- "Your Content" means events, tasks, lists, calendars, groups, comments, your display name, profile photo, and other information you add to or send through the Service. You keep all rights you have in Your Content.
- You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit Your Content as needed to operate, maintain, and improve the Service, including displaying it to members of Shared Spaces and followers of Channels you publish to.
- You represent that you have the rights needed to add Your Content and that it does not infringe anyone's rights.
- We do not guarantee that Your Content will be stored or recoverable. Keep your own copies of important information.
12. Acceptable Use
You agree not to:
- violate any law or use the Service for any illegal purpose;
- infringe the intellectual property, privacy, publicity, or other rights of others;
- harass, threaten, defame, or discriminate against others;
- add, share, or send another person's personal information without their consent;
- add or publish obscene, violent, or graphic content;
- invite unrelated people to Shared Spaces, or send content in bulk, for advertising, solicitation, or spam;
- impersonate any person or provide false information;
- place an excessive load on our servers or networks, or send large volumes of automated requests, except through integrations we provide;
- access the Service without authorization, exploit vulnerabilities, reverse engineer the Service (except as permitted by law), circumvent usage limits, or otherwise interfere with the Service;
- resell or redistribute the Service for commercial purposes without our permission; or
- engage in any other conduct that we reasonably consider inappropriate.
13. Copyright Complaints
- We respect intellectual property rights and respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act ("DMCA"). If you believe content in the Service infringes your copyright, send a notice to our designated agent that includes:
- your physical or electronic signature;
- identification of the copyrighted work you claim has been infringed;
- identification of the infringing material and information reasonably sufficient for us to locate it;
- your address, telephone number, and email address;
- a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
- a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
- Designated agent: [Name], [Address], [copyright@example.com]
- If your content was removed and you believe this was a mistake, you may send a counter-notice as provided under the DMCA. We may terminate the accounts of repeat infringers.
14. Suspension, Termination, and Account Deletion
- We may hide or remove content, restrict features, or suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms or that doing so is necessary to protect the Service, other users, or third parties.
- You can delete your account at any time from the Service's settings. When you do, your account information, events, tasks, comments, and other data are promptly deleted and cannot be restored, except that:
- Shared Spaces you own that have other members are transferred to another member, and the events and tasks in them remain;
- events you added to other users' calendars remain, and you are removed as a participant;
- tasks you added to lists shared with other users remain; and
- records we need for legal compliance and fraud prevention are kept for the periods described in our Privacy Policy.
- Deleting your account does not cancel your Subscription (see Section 9).
- Sections 11.2 (to the extent needed for content that remains in Shared Spaces), 16, 17, 18, 20, and 24 survive termination.
15. Changes to the Service
- We may change, add, or remove features of the Service at any time.
- We may suspend the Service for maintenance, outages of the cloud or network services we rely on, natural disasters, or other events beyond our reasonable control.
- If we decide to discontinue the Service entirely, we will give reasonable advance notice in the Service.
16. Disclaimer of Warranties
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any content, AI output, Channel content, or place search result will be accurate.
In particular, reminders and notifications (including event reminders and due-date and location-based task reminders) may be delayed or not delivered because of device settings, operating system behavior, network conditions, battery state, or other factors. Do not rely solely on the Service for important appointments.
Some states do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
17. Limitation of Liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to the Service or these Terms, even if we have been advised of the possibility of such damages. Our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) US$50.
Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for gross negligence or willful misconduct where such limitation is prohibited.
18. Indemnification
To the extent permitted by law, you agree to indemnify and hold us harmless from any third-party claims, damages, and costs (including reasonable attorneys' fees) arising out of Your Content, your violation of these Terms, or your violation of anyone else's rights.
19. Privacy
Our Privacy Policy explains how we collect, use, and share information about you.
20. Governing Law and Disputes
- Informal resolution. Most concerns can be resolved quickly. Before filing a claim, you agree to contact us as described in Section 25 and try to resolve the dispute informally for at least 60 days.
- Governing law. These Terms are governed by the laws of Japan, without regard to conflict-of-law rules. However, this does not deprive you of the protection of mandatory consumer protection laws of your state of residence.
- Courts. Any dispute that is not resolved informally will be brought exclusively in the [Tokyo District Court], except that either party may bring an individual claim in a small claims court in your county of residence if the claim qualifies, and except where applicable law gives you the right to bring a claim elsewhere.
21. Apple App Store Terms
If you downloaded the app from the Apple App Store, the following also applies:
- These Terms are between you and us only, not Apple Inc. ("Apple"). We, not Apple, are solely responsible for the app and its content.
- Your license to use the app is limited to use on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) of the app. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- We, not Apple, are responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims under consumer protection, privacy, or similar laws.
- We, not Apple, are responsible for the investigation, defense, settlement, and discharge of any third-party claim that the app infringes that third party's intellectual property rights.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- You must comply with applicable third-party terms (such as your wireless carrier's terms) when using the app.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
22. Export Controls
You agree to comply with all applicable export control and sanctions laws, and not to use the Service in violation of them.
23. Changes to These Terms
- We may update these Terms, for example to reflect changes in the Service or the law. We will post the updated Terms with a new "Last updated" date and, for material changes, notify you in the Service at least [30] days before they take effect.
- If you continue to use the Service after the changes take effect, you agree to the updated Terms. If you do not agree, stop using the Service and delete your account.
24. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
- Assignment. You may not transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of the business relating to the Service.
- Severability and waiver. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
- Electronic communications. You agree that we may provide notices and other communications electronically, through the Service, push notifications, or email, and that they satisfy any legal requirement that such communications be in writing.
- Language. These Terms are written in English for users in the United States.
- California users. Under California Civil Code Section 1789.3, California users are entitled to the following notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
